This Agreement is between Jewelxy Marketplace Pvt. Ltd. (CIN: U74999GJ2016PTC093592), No 316, Vraj Valencia, S.G. Highway, Sola, Ahmedabad, Gujarat 380060, India (“Jewelxy”) and the business registering a Jeweller account (“Jeweller”, “you”). By clicking “I Agree” or completing registration, you accept this Agreement together with the Jewelxy Terms of Use and Privacy Policy.

1. The service

Jewelxy provides a discovery and listing platform: a business directory profile, product showcase, backlinks, buyer enquiry routing, analytics, and (for Pro members) enhanced visibility features, per your selected plan. Jewelxy is not a sales agent, distributor, or party to any transaction between you and buyers. All sales, payments, deliveries, warranties, returns, and after-sales obligations are solely between you and the buyer on your own channels, outside the Platform.

2. Eligibility and verification

You represent that: you are a lawfully operating business (manufacturer, wholesaler, supplier, exporter, or retail jeweller) dealing in gems, jewellery, or precious metals; the person accepting this Agreement is authorised to bind the business; and you hold and will maintain all licences, registrations, and certifications required in your jurisdiction (including, where applicable in India, BIS hallmarking compliance and GST registration). You will provide verification documents on request. “Verified” badges reflect completion of Jewelxy’s checks only and are not an endorsement of your business or a guarantee to buyers.

3. Plans, fees, and billing

3.1 Lite (Free Forever): as described on the Plans page — verified standard directory profile, website and social backlinks, product showcase up to 25 items, local map routing, standard dashboard, reports and ranking, with ads displayed.

3.2 Pro (Paid): all Lite features plus premium trust profile and verified badge, premium direct routing links, unlimited product showcase with automatic sync, one-click WhatsApp leads, ad-free experience, priority ranking and rotating featured slots, advanced analytics, real-time lead reporting, sponsored listing eligibility, and LLM citation optimisation when released. Features marked “coming soon” are provided when released, without guarantee of release date.

3.3 Fees. Fees are as published on the Plans page at the time of purchase, billed monthly in advance in USD (or your local currency where offered at checkout), exclusive of applicable taxes, via Razorpay or PayPal. You authorise recurring monthly charges until cancellation. Jewelxy may revise fees with at least 30 days’ notice; revised fees apply from your next billing cycle, and you may cancel before they take effect.

3.4 Activation. Standard activation time is 24–72 working hours after payment realisation.

3.5 Cancellation, downgrade, refunds, failed payments. You may cancel or downgrade at any time via account settings or support@jewelxy.com, effective at the end of the current billing month; you retain Pro features until then. Except where required by law, fees paid are non-refundable and no pro-rata refunds are given for partial months. If a recurring payment fails, your account automatically and immediately reverts to the free Lite plan: Pro features are disabled and product listings above the 25-item Lite limit are unpublished (not deleted). You may reactivate Pro at any time by completing payment; unpublished listings are restored on reactivation.

4. Your content and listings

4.1 You are solely responsible for the accuracy, legality, and completeness of your profile, listings, images, prices, and offers, and for keeping them up to date. You acknowledge that Jewelxy displays your information “as provided”, does not verify it, and expressly disclaims to buyers any guarantee of its accuracy or currency (including pricing, gold/metal rates, and availability); buyers are directed to confirm all details with you directly before purchase.

4.2 You warrant that your content does not infringe any third party’s intellectual property or other rights, is not misleading (including counterfeit goods, undisclosed lab-grown or synthetic stones sold as natural, false certifications, inflated “discounts”, or fake reviews), and complies with advertising and consumer protection laws in the markets you target.

4.3 You grant Jewelxy a non-exclusive, worldwide, royalty-free, sub-licensable licence to host, display, reproduce, adapt (resize, reformat, translate), and promote your business information and listings on and off the Platform — including in Jewelxy marketing, search engine results, and AI assistant/LLM indexing and citation (a core feature of the service) — for as long as your listing is live and for a reasonable transition period after removal (caches, backups). You may opt out of specific promotional uses by writing to support@jewelxy.com.

4.4 Prices you display may be market-linked (e.g., gold rates). You are responsible for honouring or promptly updating your displayed prices; Jewelxy bears no liability for stale pricing.

5. Leads and buyer data

Buyer enquiries and WhatsApp leads routed to you contain personal data. You must: use it only to respond to that enquiry and conclude any resulting transaction; not add buyers to marketing lists without their explicit consent; not sell or share their data; protect it with reasonable security measures; and comply with applicable data protection laws (including India’s DPDP Act 2023 and, for overseas buyers, GDPR or equivalent). You act as an independent data fiduciary/controller for buyer data once received. Misuse of buyer data is grounds for immediate termination.

6. Conduct

You must not: create multiple or duplicate listings for the same business; post spam; impersonate another business; manipulate rankings or reviews (including incentivised or fabricated reviews); solicit Jewelxy users off-platform in bulk; scrape other members’ listings; upload malicious code; or engage in fraud, money laundering, or trade in prohibited items (including stolen goods, ivory, conflict minerals, or items violating sanctions or wildlife laws).

7. Suspension and termination

Jewelxy may suspend or remove listings, or suspend or terminate this Agreement, with notice where practicable, if you breach this Agreement, provide false information, receive substantiated complaints of fraud or serious misconduct, fail verification, or if required by law. You may terminate at any time per Section 3.5. On termination: your listings are unpublished; Sections 4.3 (residual licence), 5, 8, 9, and 10 survive; and fees due remain payable. You may export your data from your dashboard before deletion; deletion requests are processed per the Privacy Policy.

8. Warranties, disclaimers, liability

The Platform is provided “as is”. Jewelxy does not warrant uninterrupted availability, or any level of traffic, leads, enquiries, sales, ranking position, or search/AI visibility; results vary by market and content quality. To the maximum extent permitted by law, Jewelxy’s total aggregate liability under this Agreement is limited to the fees you paid Jewelxy in the 12 months preceding the claim, and Jewelxy is not liable for indirect or consequential losses, lost profits, or loss of data or goodwill. Nothing excludes liability for fraud or any liability that cannot be excluded by law.

9. Indemnity

You will indemnify and hold harmless Jewelxy, its directors, employees, and agents against claims, losses, and expenses (including reasonable legal fees) arising from: your listings and content; your products and your transactions with buyers; your breach of this Agreement; your violation of law or third-party rights (including intellectual property and hallmarking/certification claims); and your handling of buyer data.

10. General

Relationship: the parties are independent contractors; nothing creates agency, partnership, or employment. Assignment: not assignable by you without written consent; Jewelxy may assign on merger, acquisition, or reorganisation. Notices: to your registered email and to support@jewelxy.com. Changes: material changes will be notified at least 15 days in advance; continued use is acceptance, or you may cancel per Section 3.5. Grievances: Grievance Officer Mr. Dhaval Soni, support@jewelxy.com — acknowledged within 24 hours, resolved within 15 days. Governing law: India; exclusive jurisdiction of the courts at Ahmedabad, Gujarat, subject to any mandatory local protections. Entire agreement: this Agreement together with the Terms of Use, Privacy Policy, and the Plans page.
